i3net Special General Meeting: Constitution.

Dear Valued Members,

You are invited to attend the following special general meeting, to be held via teams.
Purpose of the meeting:  To pass a special resolution to permanently replace the current constitution with this complete constitution circulated to the notice of meeting.
It has been proposed that changes be made to the constitution of the i3net by the committee. The changes are intended to better align the constitution with the current needs and objectives of the i3net network. The document has been duly reviewed and approved by the committee. It is now necessary to distribute the updated document and obtain the consent and approval of the members for these changes to be implemented.

MOTION: That the members of i3net do hereby approve, accept and adopt the complete constitution consolidating all changes, as presented to the members prior to this special general meeting;

FURTHER RESOLVED, that the committee is authorised to take all necessary steps to implement the approved changes to the constitution, including filing any required legal documents and updating relevant records;

FURTHERMORE, the committee is hereby authorised to make minor adjustments or corrections to the proposed changes, if necessary, to ensure compliance with any legal or regulatory requirements;

RESOLVED FINALLY, that the secretary of i3net is directed to update and maintain an accurate copy of the constitution incorporating the approved changes, which shall be made available to all members upon request.

i3net calls for a vote, by show of hands or virtual hands, on this special resolution. All members present at this general meeting are eligible to cast their vote in favour or against the resolution. The resolution shall pass if it receives a two-thirds majority of the votes cast.

1 vote per financial member organisation.

Note: For record keeping purposes the meeting will be recorded and transcribed.

The meeting will be co-chaired by i3net CEO, Bianca Perry and i3net Treasurer, David Apolo.
